Terms of Service

1. Acceptance of Terms

By accessing or using the Stewrd API platform ("Service") operated by Simple Software LLC ("Stewrd," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Stewrd provides a managed API that executes AI agent tasks on your behalf, including research, document generation, code execution, data analysis, and file processing. The Service includes the API, dashboard, documentation, and any associated tooling.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately of any unauthorized use.

You may not share API keys across organizations or use a single account to circumvent plan limits. We reserve the right to suspend accounts that violate these terms.

4. API Usage and Rate Limits

Each plan has defined request limits. When you reach your limit, requests are rejected until the next billing period. Usage is measured in API requests as defined in our documentation.

You agree not to abuse the Service, including but not limited to: sending automated requests designed to consume resources without legitimate purpose, attempting to circumvent rate limits, or reverse-engineering the Service.

5. BYOK (Bring Your Own Key)

If you provide your own LLM provider API key, you are responsible for compliance with that provider's terms of service. Stewrd encrypts your key at rest but is not liable for charges incurred on your provider account through your use of the Service.

6. Payment and Billing

Paid plans are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time from the dashboard; access continues until the end of the current billing period.

We reserve the right to change pricing with 30 days notice. Price changes do not apply to the current billing period.

7. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, harmful, or violates third-party rights
  • Conduct unauthorized security testing or penetration testing against the Service
  • Transmit malware, viruses, or other malicious code
  • Impersonate other users or entities
  • Resell access to the Service without written authorization

We may suspend or terminate your access if we determine, at our sole discretion, that you have violated these terms.

8. Intellectual Property

You retain ownership of all content you submit to and receive from the Service. We do not claim ownership of your inputs or outputs. The Service itself, including its design, code, and documentation, is the intellectual property of Simple Software LLC.

9. Generated Files

Files generated by the Service are stored temporarily according to your plan tier. We are not responsible for data loss due to file expiration. You are responsible for downloading and backing up any files you wish to retain.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or suitable for any particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, Simple Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Simple Software LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

13. Modifications

We may modify these terms at any time. Material changes will be communicated via email or a notice on the dashboard at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
